Hey Fam,

Have you ever had a moment where you looked back at something you signed and thought, I probably should not have agreed to that?

Not because you didn’t understand the opportunity. Not because you weren’t excited. But because, at the time, you didn’t fully see what you were giving up.

That’s exactly what happened to Tyla Simone Crayton.

She owns a federally registered trademark for Sienna Wings. She built her business, grew her brand, and did what most founders are told to do—protect her name at the federal level. And yet, when it came time to expand into a physical location, she found herself in a position where she couldn’t actually use that name the way she intended.

Not because of another trademark owner.

Because of a contract she signed.

So let’s walk through what happened, because this isn’t really a trademark issue. It’s a control issue—one that sits quietly inside agreements that most people don’t think twice about until they’re being enforced.

Tyla started her wings business young—just sixteen—building from her kitchen and growing it into something with real traction. Over time, that growth translated into bigger opportunities: national visibility, retail distribution, and eventually a brick-and-mortar location in a master-planned community called Sienna.

And that’s where things shifted.

Before she could even put up her signage, the property owners required her to sign an agreement.

On its face, that might sound routine.

But the terms weren’t limited to that location or that community. The agreement gave the developer approval rights over her ability to expand her business—into other cities, other states, and potentially beyond.

In other words, a contract tied to one physical location started reaching into the future of her entire brand.

Forever.

The Pivot

IP provisions in contracts are often subtle. Quiet. Inconspicuous. Esoteric, even.

But that doesn’t make them any less enforceable.

From employment agreements that broaden the scope of what counts as “within the scope of employment.”

To manufacturing contracts that turn your designs into someone else’s property.

To vendor agreements where the contractor—not you—owns the copyright to work you paid for.

To leases in branded communities that turn signage rights into IP control.

The pattern is the same:

You think you’re signing for space, services, or collaboration.

You’re actually signing away control of what you built.

Understanding that owning your IP is the starting line—not the finish line.

Most founders don't realize that employment contracts aren't just about salary and benefits.

They're IP assignment agreements in disguise.

What to Watch For:

"Scope of Employment" clauses that define what you create "within the scope of employment"—often broader than your actual job description.

Invention assignment provisions that claim ownership of anything you create using company time, resources, OR knowledge.

Even on weekends.

Even at home.

Even on your side hustle.

"Prior Inventions" schedules that require you to list what you already own. Anything NOT listed? The company assumes they own it.

Work-for-hire language that transfers copyright automatically—no signature required.

The Risk:

If you're working on a side project while employed and your contract has broad assignment language, your employer may own it.

Even if you built it entirely off the clock.

And here's where it gets serious:

Filing for a trademark or copyright on something you created while employed—when your employment agreement gives your employer rights to it—can lead to fraudulent filing claims.

Because you can't file for IP you don't actually own.

The Question:

Before you file, ask: Does my employment agreement give my employer rights to this?

If the answer is yes—or if you're not sure—you need to resolve ownership before you file.

Not after.

Founder Gem:

Employment agreements are not just HR paperwork.

They're IP ownership documents.

Read them like the contracts they are, not formalities.

And if you're building something on the side, make sure you actually own it before you protect it.

You hire a manufacturer to produce your product.

You send them your designs. Your prototypes. Your molds. Your specifications.

Then six months later, they're selling a "similar" product under a different brand.

And when you object, they tell you they own the molds.

What to Watch For:

Who owns the molds, designs, and prototypes? If the contract doesn't say

YOU own them, the manufacturer might. Even if you paid for them.

Improvement clauses. If the manufacturer makes enhancements to your design during production, who owns those improvements? You? Them? Both?

Trade secret sharing without confidentiality protections. You're handing them proprietary formulations, processes, and specs. What's stopping them from using that with your competitors?

Exclusive use provisions. Can they manufacture the same design for other brands? Can they use your molds for similar products?

The Risk:

You paid for the tooling. You created the design. But if the contract says the manufacturer owns "production materials" or "tooling," they can use YOUR designs to produce for anyone.

Including your competitors.

Real-World Scenario:

A founder develops a proprietary product design. Sends specs and CAD (Computer Aided Design) files to a manufacturer.

Pays $50K for custom molds.

The contract says the manufacturer owns "tooling and production equipment."

Two years later, the manufacturer is producing the same design for a competitor at half the price.

The founder's lawyer reviews the contract.

The manufacturer owns the molds. Legally.

Founder Gem:

Ownership of molds, prototypes, designs, and tooling should be explicitly stated as YOURS. If you paid for it, you should own it. Put that in writing before production starts.

You hire a contractor to build your website. Design your logo. Write your course content. Develop your app.

The work is done. You paid the invoice.

But do you actually own what they created?

What to Watch For:

Work-for-hire language. Without this, the contractor owns the copyright—even though you paid them.

Copyright law is clear: the creator owns the work unless there's a written agreement saying otherwise.

Deliverable ownership clauses. Who owns the final work? Who owns the drafts, unused concepts, and source files?

Improvements to YOUR pre-existing IP. If the contractor enhances your framework, methodology, or content, who owns the enhanced version?

License vs. assignment. Are they giving you a license to use it, or are they transferring full ownership to you?

The Risk:

Without work-for-hire or assignment language, the contractor owns the copyright to everything they create. You just have an implied license to use it.

Which means they can: → Sell the same design to your competitor → Use your brand concepts in their portfolio without limitation → Refuse to give you source files because they own them

Real-World Scenario:

A founder hires a designer to create a brand identity. No contract. Just emails and Venmo.

The designer delivers. The founder loves it. Starts using the logo everywhere.

A year later, the founder tries to register the trademark.

The examining attorney asks: "Do you own the underlying copyright to this design?"

The founder realizes: the designer owns it. Not them.

To register the trademark, the founder needs a copyright assignment from the designer—who is now unresponsive and may want additional payment.

Founder Gem:

"I paid for it" doesn't mean you own it.

Copyright law says the creator owns the work unless there's a written agreement transferring ownership. Always include work-for-hire or IP assignment language in vendor and contractor agreements. Before the work starts.

Commercial leases are about square footage, rent, and build-out costs.

Except when they're not.

What to Watch For (especially in master-planned communities, shopping centers, branded developments):

Signage restrictions tied to trademark approval. The landlord may control whether you can display your own brand name on your own building.

Exclusive use clauses. The landlord reserves the right to approve your use of the space—including your business name, your branding, and even your business model.

Covenant controls that give property owners approval rights over business changes, expansions, or pivots.

Agreements that turn property access into IP leverage.

The Risk:

You lease the space. You pay rent. You build out the location.
But the landlord controls whether you can use your own trademark on your own signage.

And they use that control to demand approval over how you operate your business. Where you expand. What you sell. How you grow.

The Sienna Wings Case:

Again, Tyla Simone Crayton owns a federal trademark for Sienna Wings.

She leased space in a master-planned community called Sienna.

The property owners are blocking her signage until she signs an “agreement"—one that gives the developer approval rights over ANY business expansion. To other locations. Other cities. Other states.

Forever.

This isn't about trademark confusion.

This is about a property owner using signage control as leverage to secure IP control.

The Lesson:

Having a trademark doesn't guarantee signage rights on someone else's property.

Opening in a branded community without reviewing the covenants? That's how you end up boxed in.

Founder Gem:

Before you sign a lease in a branded community, shopping center, or trademarked development, ask: What approvals do I need to display my brand? What control am I giving up? What restrictions exist on how I can operate my business? Read the covenants like a contract. Because they are.

IP implications exist in contracts that don’t mention intellectual property.

They show up as: → Employment scope definitions → Manufacturing tooling provisions → Vendor deliverable language → Lease signage restrictions

And if you don’t catch them before you sign, you may not own what you think you own.

Before you sign any contract, ask:

1. Who owns what I create under this agreement?

2. Am I giving anyone a license to my existing IP?

3. What happens to improvements, enhancements, or derivatives?

4. Can I use my own IP freely after this agreement ends?

5. What control am I giving up that I don’t realize?

Because owning your IP is the starting line.

Understanding how contracts impact that ownership? That’s the strategy.

Negotiating advance payment can secure your commitment and offer financial security before the event.

Additionally, clarify whether payment is conditional upon certain deliverables or outcomes to avoid any post-event surprises.

Your talent and time are valuable; make sure they're compensated accordingly.

Your intellectual contributions—whether they're in the form of keynote speeches, interactive workshops, or insightful articles—are the essence of your thought leadership.

Understand the extent of rights you might be giving up and negotiate terms that allow you to retain control over how your content is used or repurposed.

For example, if your contract includes clauses that grant the event organizers exclusive rights to your presentations, consider whether you can limit this to a specific time frame or use context.

Balancing the visibility opportunities against the need to protect your intellectual assets is key.

In this digital age, content can be captured and shared globally in seconds.

It’s critical to understand who owns the content once the shutter clicks or the record button is pressed.

In fact, I still recall when Justin Bieber faced copyright infringement for posting a photo of himself on his Instagram account, highlighting the complexities of copyright laws.

Make sure your contract precisely details permissions for recording and photography, and consider hiring an independent professional to capture your performance, ensuring you retain ownership and control over the distribution of these materials.

Your Thoughts, Your Creations, Your Rights.

Securing a spot on the speaking circuit offers an incredible platform to amplify your impact. 

Yet, safeguarding the intellectual property you share is essential for maintaining the integrity and value of your work.

So before we even brought this conversation here, we had it in real time on Threads.

The post went viral—pulling in nearly 600,000 views—and the reactions came in fast.

Some people called it unfair.

Others framed it as a power imbalance. There were questions about whether Patagonia was out of alignment with the very communities it claims to support—and whether there was a more thoughtful, more measured way this could have been handled.

And look, I get it. It’s not hard understand the reactions.

Because this is a conversation we have with my clients all the time—especially founders building in social impact spaces.

These questions are hard, nuanced, and require intention.

For example, what does it actually mean to enforce your rights while still honoring the identities, backgrounds, and communities you serve? What does it look like to protect your brand without compromising your values?

Because sometimes, culture and case law don’t move together. And when they don’t, it can feel uncomfortable.

But this is exactly where strategy comes in.

So let’s break this down clearly.

Here are three takeaways that will help you understand how to enforce your rights in a way that is both legally sound and values-aligned.

When most people hear the word “lawsuit,” they assume it’s about money.

And sometimes, it may very well be.

But in trademark law, money is often secondary to something far more important: brand control and awareness:

Because when you own a brand, enforcement doesn’t have to be limited to financial damages.

You have a range of tools available to you—ways to respond that are strategic, calibrated, and aligned with what you’re actually trying to protect.

That can look like stopping use altogether through an injunction, negotiating a coexistence agreement, structuring a license, issuing takedowns, or even working toward a rebrand.

So when Patagonia filed this case, the $1 wasn’t the point.

But it was a signal.

They weren’t trying to extract value from the Patti Gonia, a trans activist whose views they are likely aligned with.

They were trying to define a boundary around their own.

And alongside that symbolic dollar, they sought something far more consequential: a permanent injunction.

What is an injunction?

Well, an injunction is an order from the court to stop doing something. It’s a way parties can prevent irreparable harm when monetary damages are insufficient.

An injunction is particulalry powerful because it shapes what the parties can and cannot do. In the case of trademarks, a case for injunctions can determine whether a name can continue to exist in the marketplace at all.

And once you understand that, the case reads differently.

You can be serving a community and still have to enforce your rights against someone within it. You can believe in the mission and still need to draw a boundary around your brand. And when that moment comes, the question isn’t whether enforcement makes you misaligned—it’s whether your approach is thoughtful, strategic, and grounded in what you’re actually trying to preserve.

So the takeaway here is simple:

Enforcement doesn’t have to be extractive to be effective.

You don’t always have to lead with money. You can lead with structure. With clarity. With boundaries that protect your work while still leaving room for nuance in how you engage.

Because at the end of the day, protecting your brand is what allows you to continue serving your community in the first place.

And that is the work worth doing.

In 2022, the parties reportedly reached an informal understanding—something that may have felt aligned, reasonable, even respectful in the moment.

But trademark law doesn’t operate on informal understandings.

It operates on patterns, and informal understandings do not make trademark rights go away:

Because once you own a trademark, enforcement becomes part of the job. Not as a matter of preference, but as a matter of preservation.

The law is not evaluating how fair a situation feels or how well-intentioned the parties are—it’s looking at what you do over time.

And over time, silence has consequences:

If similar marks are allowed to exist without challenge, your rights can begin to erode. Your brand can lose distinctiveness. And in some cases, you can lose the ability to enforce your mark altogether—not because the rights were never there, but because they weren’t maintained.

That’s where doctrines like laches come into play. If someone builds their business while you remain silent, they can argue that they relied on that silence. And if that argument holds, you may be prevented from stepping in later—even if the conflict becomes more serious, even if the stakes become higher.

So what might feel like restraint in the moment can become a limitation later.

And this is the tension founders have to sit with.

I say this all to note that in cases like this, the question isn’t simply whether Patagonia wanted to act.

Good alignment does not override federal registration.

At a certain point, visibility for Pattie Gonia may have started to feel like protection.

And after looking at Pattie Gonia’s platform, it’s easy to understand why.

A large following, a recognizable name, a community that shows up and believes in the work—those are real signals of impact.

Over time, that kind of presence can create the sense that a brand is too established, too supported, too culturally embedded to be meaningfully challenged.

But trademark law doesn’t engage with that kind of perception.

It steps in at the point of conflict.

Because the question isn’t how visible a brand is or how much goodwill it has built. The question is whether that brand begins to overlap with rights that already exist—whether, from a legal standpoint, there is a likelihood that consumers could be confused.

And in that analysis, reach doesn’t create immunity.

It didn’t prevent the injunction here. It didn’t shift the underlying legal standard. The presence, the following, the recognition—all of that exists alongside the law, not in place of it.

What it does change, though, is how enforcement unfolds.

And that’s the tip I want you to take away from this.

Because once a brand reaches a certain level of visibility, enforcement no longer happens quietly. It happens in public, in real time, with an audience that is interpreting, reacting, and forming opinions alongside the legal process. The court of public opinion doesn’t replace the law, but it does shape the environment in which enforcement takes place.

And that’s where strategy becomes essential.

Because now the question isn’t simply whether you have the right to act. It’s how you choose to exercise that right in a way that is thoughtful, measured, and aligned with the broader ecosystem you’re operating within. It’s understanding that you can draw a clear boundary around your brand while still being intentional about the way that boundary is communicated and enforced.

For founders—especially those building in social impact spaces—this is the work. Not avoiding enforcement, but learning how to engage in it with precision. Recognizing that protecting your brand and honoring your values are not mutually exclusive, but they do require decision-making that goes beyond instinct.

Because the law gives you the authority.

But how you use it—that’s where your strategy, and your leadership, actually show up.

This case isn’t about sides.

It’s about structure.

Patagonia may be legally justified.

Pattie Gonia may be culturally resonant.

Both can be true.

But the real question for you is: If your name became a brand tomorrow,
would you own it?

Or would you be hoping no one contests it?

Influence feels powerful.

Ownership is power.

And trademarks move slower than culture —
but they last longer.

The room is brimming with anticipation.

And the whole room awaits the moment the two main characters meet at the altar.

After all, they’ve already chosen each other.
They’ve already posted the engagement photos.
They spent money sending the invitations.
They’ve booked the honeymoon.
And in their minds, the decision is made.

They meet, they smile…

And then the officiant pauses.

And says the line.

“If anyone has any reason these two should not be wed, speak now or forever hold your peace.”

And just like that —

the room holds its breath.

That moment?

It’s not just tradition.

It’s clearance.

Because marriage isn’t more than emotional pomp and circumstance.

It’s legal.

And before the state recognizes that union, it gives the public one final opportunity to object — to raise a conflict, to say:

“This should not move forward.”

And in that moment, stands the possibility of everything they planned being undone.

Believe it or not, Trademark law works the same way.

Before a trademark registers, it is published for opposition.

This means the public gets a window to review the application — and, if necessary, object.

That objection is called an opposition proceeding, and it’s handled by the Trademark Trial and Appeal Board (TTAB).

Right now, one of those moments is playing out in real time.

Here’s how:

A company recently filed to register “Swift Home.”

As the mark was well on its way to registration, the USPTO, as the Trademark “officiant,” provided the public 30 days to object to Swift Home’s registration.

And Taylor Swift took that chance by the horns.

During the 30 day objection period, Taylor Swift Holdings filed an opposition to stop the registration of Swift Home.

Now, the case is pending before the TTAB.

All because someone with prior rights to stepped forward and said:

“This shouldn’t go through.”

So how does a name make it this far — only to be stopped at the last moment?

Taylor Swift vs. Swift Home

A small business filed to register the name “Swift Home.” At first glance, nothing about it raised alarms. It looked like what it was—another brand, another application moving through the system, another founder taking steps to build something of their own.

To become their own boss, some may say:

But here’s the thing about trademark law… it doesn’t move in a straight line.

Before a mark ever reaches registration, it passes through a public stage where it is published in the Official Gazette—a government record that quietly signals to the world that a name is about to be claimed.

That moment matters because publication creates a window: a chance for anyone with prior rights to step forward and say, “Not so fast.”

That’s exactly what happened here. Taylor Swift’s legal team didn’t file a lawsuit or make headlines. They filed an opposition—a formal challenge grounded in the rights she already holds across her family of SWIFT trademarks.

Here’s what Swift essentially said in the opposition:

And once that opposition is filed, the application is no longer routine—it becomes a dispute.

The burden shifts, and the applicant now has to defend the name by answering the core question in trademark law: could consumers be confused?

Not intent.

Not popularity.

Likelihood of confusion.

The opposition was filed on February 11, 2026, and Swift Home now has until April 12, 2026 to respond. Miss that deadline, and the application can default—ending the process before registration is ever within reach.

This is the stage most founders don’t see coming. Because by the time your name reaches the public, it’s no longer just yours to decide—it’s open to challenge.

So let’s talk about how to navigate this moment—before you find yourself standing at the proverbial altar, waiting to see who speaks.

Many founders believe that once they file a trademark application, they own the name.

They don’t.

Filing is simply the start of a process that moves far slower—and far more deliberately—than most people expect. In fact, after submission, an application can sit in the USPTO queue for six to ten months before it is even assigned to an examining attorney.

During that time, nothing is being “approved”—it’s waiting its turn to be reviewed.

Once an examining attorney does review the application and finds no immediate issues, the mark moves to the next stage: publication.

And this is where things shift.

When your mark is published in the Official Gazette, it is no longer just between you and the USPTO.

It is now visible to the public—specifically to anyone who may already have rights in a similar name.

Publication is not a formality. It is a deliberate checkpoint built into trademark law to protect earlier rights and prevent conflicting brands from entering the marketplace.

It creates a window.

A defined period where a third party can step forward and formally object to your registration.

If no one objects, your application continues forward toward registration.

But if someone does, the process changes entirely.

You are no longer simply moving through an administrative review. You are now in a legal proceeding before the Trademark Trial and Appeal Board, where the focus shifts to a central question: can your mark coexist with what already exists without creating confusion in the marketplace?

That is the standard—likelihood of confusion—and it governs everything that follows.

This stage is not unpredictable, and it is not personal. It is structured, procedural, and rooted in the idea that trademark rights are not created in a vacuum. They are shaped by priority, use, and the broader landscape of existing brands.

Which is why this moment matters.

Because by the time your application is published, the question is no longer just what you want to build—it’s whether the law will allow it to stand.

Founder Gem:

Before you file, assume someone will speak.

Because silence at the “altar” is not luck—it’s the result of clearance, strategy, and preparation done long before your name is ever made public.

Before you get mad at Taylor, you’ve got to understand something:

She has to enforce her rights.

Because trademark rights don’t stay strong on their own.

They are maintained through consistent, visible enforcement. If a brand owner allows similar marks to register without objection, over time, their rights can weaken. The law begins to treat the mark as less distinctive, less protected, and more diluted.

So when a brand like Taylor Swift’s files an opposition, it isn’t about being loud or overreaching.

It’s about preservation.

It’s about maintaining the strength of a portfolio that spans entertainment, merchandise, and consumer goods—where the word “SWIFT” is not just a name, but a core brand asset.

That’s why large brands monitor new trademark filings closely. They review applications as they are published, assess potential conflicts, and, when necessary, act. Not emotionally. Not publicly. But strategically.

Because if they don’t, they risk losing control over the very thing they’ve spent years building.

And that’s the part I want to impress upon you today, fam.

Opposition isn’t ego.

It’s maintenance.

It’s the ongoing work required to keep a brand protected, enforceable, and valuable in the marketplace.

Silence, on the other hand, can be expensive.

Because every unchallenged, confusingly similar mark becomes one more data point that can be used to argue that your brand is no longer as distinct as it once was.

Founder Gem:

Enforcement is not aggression.

It’s stewardship.

Fighting an opposition is not just about being right.

It requires time, money, legal precision, evidence, and a real tolerance for risk.

Because once you’re in an opposition proceeding, the process can escalate quickly—discovery, briefing, negotiation—and if it continues without resolution, it can easily reach six figures in legal fees.

And that can break a small business before it even gets off the ground.

That’s money not going to research and development.

That’s money that’s not going to marketing.

That’s money that’s not going to your employees.

That’s money not coming to you.

And that’s….a hard decision to make:

As of now, it remains to be seen what Swift Home is going to do.

We’ll have to watch it play out.

The parties may settle.

They may negotiate.

Or Swift Home may decide to abandon the application altogether.

But if they don’t—and the case moves forward—this becomes a different kind of decision.

Not just “Do we like this name?”

But:

Is this name worth the fight?

Because sometimes the most strategic move is not to escalate—it’s to pivot:

To step back, reassess, and redirect your resources toward something stronger and more defensible.

That might look like rebranding.

Refining the mark.

Filing differently.

Or negotiating a resolution.

Walking away from one mark can preserve the resources, clarity, and positioning needed to build something better.

That’s not losing.

That’s strategy.

That’s discipline.

That’s the long game.

Founder Gem:

Not every battle deserves litigation.

Some deserve strategy.

Ownership is not about who is louder.

It is about who filed.
Who monitored.
Who enforced.
Who prepared for the objection window.

The marriage metaphor works because, like many marriages, trademark registration is not about romance.

It’s about validation.

And before the government grants you exclusive rights, it asks:

Is there any reason these two shall not be wed?

If someone speaks — and they have prior rights — you must respond with law, not emotion.

If your trademark application were published tomorrow…

Would the room stay silent?

Or would someone stand up?

Power Move #1 — File Before the Spotlight

Bad Bunny’s Super Bowl halftime announcement came on September 28, 2025.

And shortly after that announcement, the trademark filings began rolling in.

Not after the performance.

Not after the headlines.

Not after the merch sold out.

Before.

So by the time Bad Bunny was dancing on stage with Pedro Pascal and Jessica Alba, turning up with Cardi B, and performing in front of 128 million viewers, he already had several trademark applications in motion.

Which meant something important.

He had priority of filing.

And in trademark law, priority is everything.

Because the first person to file is often the first person with the legal right to claim the brand.

That filing priority allowed him to beat the inevitable wave of copycats, opportunists, and fast filers who try to ride the coattails of cultural moments.

This is something I tell my clients all the time:

Prepare for the overflow.

When attention concentrates around a name, a phrase, or a brand, demand moves quickly.

Trademark law does not.

In fact, it can take eight months or more for the USPTO to even assign an examiner to review an application.

Which means the time to file is not when the spotlight hits.

It’s before the moment arrives.

Because the spotlight isn’t just visibility.

It’s a window.

And windows close.

DEBÍ TIRAR MÁS FOTOS is such a beautiful album title.

Translated as “I should’ve taken more photos,” the title carries a quiet sense of nostalgia — a reflection on moments that passed too quickly and the memories we wish we had captured.

But even more than that, DEBÍ TIRAR MÁS FOTOS is a brand.

It’s merchandise.

It’s a licensing opportunity.

It’s intellectual property.

And Bad Bunny’s team treated it that way.

Shortly after the album’s release, trademark applications were filed covering a range of goods — including cameras and disposable cameras.

At first glance, that might seem random.

But it isn’t.

Because the album itself is built around a cultural idea: memory, nostalgia, documentation, capturing moments before they disappear.

A camera fits that narrative perfectly.

And that’s the real strategy.

The album title isn’t just the name of a project.

It’s a commercial platform.

It can live on products.

It can appear in collaborations.

It can be licensed into entirely new markets.

And into an entirely new revenue stream that will live on when the spotlights don’t.

Most founders treat their frameworks, phrases, and creative work solely as content.

Go viral for a moment.

Get a bunch of like…for a moment.

And then fade into oblivion.

But Benito? Oh, he different.

Bad Bunny treats his as intellectual property.

And that distinction matters.

Because while content gets shared.

Intellectual property gets owned.

And owned assets can be licensed, protected, and monetized for years.

Not gonna lie…

I love when people protect not just one brand, but the entirety of their infrastructure.

Because here’s the thing.

Bad Bunny didn’t just trademark “Bad Bunny.”

He trademarked Benito Antonio.

He trademarked Benito Ocasio.

He filed for protection around the phrases embedded in his music.

Around the cultural language his audience repeats.

Around the identity he performs on stage — and the one he carries off of it.

In other words, he didn’t just protect a brand.

He protected the entire ecosystem of his identity.

Because in modern culture, a creator’s name is more than a label.

It’s infrastructure.

Your name is the anchor that holds everything else together — the music, the merch, the collaborations, the licensing deals, the endorsements, the businesses you haven’t even launched yet.

And if that foundation isn’t secured, everything built on top of it becomes fragile.

Think about the numerous artists who’ve lose their names to labels.

Doechii doesn’t own her brand.

Beyonce doesn’t own Destiny’s Child.

Nick Cannon doesn’t own Wild ‘n Out.

So artists risks losing their likeness to AI models.

And losing their phrases to faster filers.

But Bad Bunny understood the risk.

So he built a wall around his identity.

And then he stepped on stage.

After he already claimed what was his.

He entered the global stage in Spanish.

Unapologetically Puerto Rican.

Without softening a single thing.

And the world adjusted.

But my favorite part in all of this?

The source of his courage.

His fearlessness.

His risk taking and confidence.

That boldness didn't just come from cultural pride (although culture was a HUGE part of it).

It also came from ownership.

When you know your name is protected — when your work is registered — when your IP is yours —
you move differently.

You negotiate differently.
You build differently.

The question isn't whether your work has cultural value.
The question is whether you've claimed it.

Because culture moves fast.
Trademark law moves slower.
But it lasts longer.

File before the spotlight finds you.

I’d say, her portfolio is a flex in and of itself.

Because when you look closely, you see a deliberate pattern: entities formed, trademarks filed, categories protected, expansion anticipated.

The creativity isn’t limited to storytelling.

It extends into business design.

Into brand curation.

Into building systems that allow the work to travel beyond one show, one contract, or one moment in culture.

As you’ll see below, Issa Rae has shown us that creativity is not confined to what appears on screen.

The registration does not limit the brand to any one series or one format.

So when Hoorae appears in contracts or credits, it represents a legally defined and federally protected entertainment enterprise.

And event more, when Hoorae shows up in a deal—from HBO Max to Netflix to Audible—it’s not just for credit. It’s for cash flow and control.

While much of the public conversation centered on premieres, partnerships, and visibility, another asset was taking shape: VIARAE.

Filed under VIARAE LLC, Trademark Serial No. 97231326 protects the VIARAE name for wine.

That registration anchors the brand in a completely different industry, with its own distribution channels, regulatory framework, and long-term growth potential.

This means the name on the bottle is secured in commerce.

It means the brand can scale, license, and expand without competing with copycat entrants using a similar mark.

It also means that VIARAE is positioned as a standalone consumer product brand, not simply a celebrity-backed label.

So every bottle of VIARAE Prosecco isn’t just a celebration—it’s a business move.

And it’s protected.

But the real flex?

Owning VIARAE gives Issa the ability to license the brand, expand into broader distribution channels, and structure the company for long-term equity growth.

It positions VIARAE as an asset that can scale beyond a single product line and evolve into something durable — something that outlives a launch cycle and compounds over time.

Let’s make a toast to that…

In the beauty space, Issa Rae’s role goes beyond visibility.

She is a co-founder of Sienna Naturals, and the brand is federally protected under Trademark Serial No. 97604235.

That registration covers:

• Hair shampoo

• Hair oils

• Conditioners

• Styling products

— the core product categories that define the company’s commercial footprint.

This matters because it places the brand identity on solid legal ground.

The name that appears on the packaging, in retail partnerships, and across marketing campaigns is secured at the federal level.

As the company expands into new formulations, retail channels, or collaborations, the trademark anchors the brand in commerce.

Sienna Naturals is not structured as a short-term endorsement opportunity.

This is not a “pop up” brand.

It is structured as a protected consumer goods company operating in a competitive market with long-term growth potential.

And here’s the structural piece that often gets overlooked: the products operate under Sienna Naturals Inc.

That small detail changes the entire conversation.

This is not a licensing arrangement where a celebrity lends their name for a campaign cycle.

Again, it is not a temporary endorsement layered onto an existing company.

The brand is housed within a corporate entity built to own, manufacture, distribute, and scale consumer goods.

That means equity.

It means governance.

It means participation in long-term value creation.

When the brand grows in retail distribution, valuation, partnerships, or acquisition conversations, that growth attaches to the company — not just to visibility.

In a beauty market where founders are frequently positioned as faces rather than decision-makers, ownership shifts the power dynamic.

It places control over formulation, branding, expansion, and exit strategy inside the company itself.

That distinction is quiet, but it is significant.

It ensures that Issa’s involvement is not limited to marketing presence.

Lady Gaga is back.

Lady Gaga’s seventh studio album is titled Mayhem, and was released on March 7, 2025.

In the marketing buildup, Gaga released merchandise bearing the word—hoodies, shirts, apparel tied directly to the album rollout.

Around the same time, a California-based company, Lost International, pointed out that they had been using the term “Mayhem” for years on surf equipment and apparel.

Same word.
Similar goods.
Different worlds.

So the question practically asked itself: Did Lady Gaga commit trademark infringement?

The federal court didn’t think so.

Yeah, you heard it right.

Same name.

Same products.

But different story.

And this, my friends, is where the beautiful, sometimes frustrating, love story of trademark law really shows itself.

So how did Lady Gaga walk out of the courtroom unscathed?

Let’s break it down together.

Most people are taught a very clean version of trademark law:

If you use another company’s trademark on similar products, that’s infringement.

Say it three times fast—and then immediately forget it.

It’s not that this statement is wrong.

It’s just…incomplete.

Here’s the thing:

Trademark law is not about word ownership.

It’s about consumer perception.

The question is not just:

“Did you use the word?”

The question is:

“Would consumers believe this product or work is sponsored, endorsed, or affiliated with the trademark owner?”

That’s a different analysis entirely.

And when expressive works enter the picture—music, film, books, art—the analysis shifts.

Let’s break this down some more.

Courts have long recognized that expressive works deserve heightened protection.

Music albums, films, books, and other creative works are not treated like cereal boxes or shoe labels.

But…why though?

Welcome to the First Amendment of the United States Constitution.

Yep, it still works out despite what our government may say…

The use of a trademark in an expressive work is less likely to signal sponsorship or endorsement by a trademark owner of an identical brand.

Because they are not primarily selling goods.

They are communicating ideas.

And that distinction matters.

When a trademark appears on packaging — on a shoe tag, a bottle, a storefront — the question is straightforward:

Would consumers likely believe the trademark owner made, sponsored, or endorsed this product?

That’s classic trademark law.

But when a trademark appears inside the title of an album or other creative work, courts apply a different framework.

They ask two questions:

1. Is the use artistically relevant to the work?

2. Is the use explicitly misleading as to source or sponsorship?

That’s why courts have repeatedly held that artists can reference, evoke, or even play with existing trademarks—so long as the use isn’t explicitly misleading.

In fact, this is the same logic that protected the song “Barbie Girl” when Mattel sued, arguing trademark infringement.

The court found that the song was expressive commentary, not an attempt to confuse consumers into thinking Mattel endorsed it.

So for Gaga’s album title, the analysis was relatively straightforward.

An album named Mayhem is an expressive work.
The word functions artistically, not as a brand identifier for surf gear.

That part of the case was never the hard question.

So…this is where things get interesting.

Merchandise is usually where trademark claims do gain traction.

Shirts, hats, hoodies—those are classic trademark goods.

And Lost International argued exactly that: that Gaga’s merch crossed the line from expression into commercial branding.

The court still disagreed.

Why?

Because the merchandise wasn’t being sold as a standalone brand competing with surf apparel.

It was being sold as a promotional extension of the album itself.

In other words, the court viewed the shirts not as independent commercial products, but as speech connected to an expressive work.

The takeaway here is subtle but powerful:

Merchandise that is closely tethered to an expressive work may inherit the same First Amendment protection as the work it promotes.

And another kicker?

Lost International’s biggest problem wasn’t similarity of words—it was lack of evidence.

They could point to shared use of the term “Mayhem.”
But they couldn’t point to actual consumer confusion.

No evidence that buyers thought the surf brand was affiliated with Lady Gaga.

No evidence that Gaga’s fans believed the merch came from Lost International.

No marketplace confusion—just overlap.

And overlap alone is not infringement.

This entire decision came at the preliminary injunction stage.

That matters—a lot.

A preliminary injunction is an emergency remedy.

It’s what a party asks for when they believe something is so harmful, so urgent, that waiting for a full trial would cause damage that cannot be undone.

In other words:

“Judge, stop this now.”

Before discovery.

Before depositions.

Before months (or years) of litigation.

To win, the plaintiff must show:

• they are likely to succeed on the merits, and

• they will suffer irreparable harm without immediate court intervention.

This is a high bar by design.

The court was not deciding the ultimate fate of the trademark claims.

It was deciding whether Lost International had shown enough right now to stop Gaga’s use immediately.

The court said no.

Which means two things can be true at the same time:

1. Gaga wins this round.

2. The case could still evolve if evidence changes.

This is why early headlines often oversimplify trademark rulings.

A denied injunction is not a declaration of victory—it’s a declaration of insufficient proof at that moment.

This situation is a beautiful case study into how trademark law actually works.

It teaches three critical lessons founders can ofter overlook:

1. Context matters more than words.
Same term, different function, different legal outcome.

2. Merch isn’t automatically commercial infringement.
When tied tightly to expressive works, it can be protected speech.

3. Trademark disputes are evidence-driven.
Courts care about confusion in the real world, not assumptions on paper.

And the Biggest Lesson of them All? Trademark law doesn’t punish creativity. It punishes misleading use.

And sometimes, what looks like infringement at first glance dissolves once you zoom out and examine how consumers actually experience a brand.

Trademark law resists shortcuts.

It forces nuance.

It demands context.

It refuses to give easy answers to hard questions.

And that’s exactly why when someone asks me, “Is this infringement?” the honest answer is often:

It depends—and we need to look closely.

Because Mayhem shows us that trademark law isn’t about who used a word first.

It’s about how the word lives in the marketplace.

And that’s where the real work begins.

Especially when I remember that for years, Ralph Lauren couldn’t sell Polo-branded clothing in South Africa.

Think about it, a whole generation of millennials never experiencing the joy of the multicolored, flipped-up collars.

But this wasn’t about fashion.

It was about intellectual property.

Yes, it’s true.

For years, Ralph Lauren couldn’t sell a single piece of its Polo-branded clothing in South Africa.

That sentence alone makes people pause.

Not because Ralph Lauren isn’t global.
Not because the brand lacked recognition.
But because the rights already lived there.

Same name. Familiar imagery. Deep cultural roots.

And, most importantly, enforceable trademark rights.

But what followed wasn’t a loud legal battle.

It was something far less common—and far more instructive.

A trademark aquisition.

Because if you can’t beat them, buy them.

And Ralph Lauren did just that.

In November 2025, Ralph Lauren acquired the South African Polo brand outright, gaining control over the trademarks, goodwill, and operations tied to that name.

In essense, they conceded the battle to win the war.

And as business owners, it’s time that we think this way as well.

The Real Lesson

Culture moves faster than contracts.
Trends move faster than trademarks.

But trademarks are not designed for trends.
They’re built for long-term sustainability.

This is why Ralph Lauren played the long game—conceding battles, respecting territorial rights, and ultimately choosing acquisition over endless conflict. The goal wasn’t to win loudly. It was to win permanently.

Which brings us to this founder’s letter.

When conflicts arise over names, brands, or symbols, many founders assume there are only two options:

Send a cease-and-desist or go to court.

But not every situation requires “knuck if you buck” energy:

In reality, sophisticated brands often exhaust business-forward alternatives first.

Here are three of the most effective.

A trademark license allows one party (the licensee) to use another’s mark under defined terms — territory, products, duration, royalties, and, most importantly, quality control.

But licensing isn’t just about letting someone use your name.

It’s about preserving ownership while monetizing influence.

Instead of fighting over who owns the mark, the parties agree on how it can be used — and under what conditions.

This approach:

Licensing is especially powerful when one brand has strong local equity and another has scale.

A well-structured trademark license should clearly define:

• Scope of use (What products? What services?)

• Territory (Local? National? International?)

• Duration (One year? Five years? Indefinite with termination rights?)

• Royalty structure (Flat fee? Percentage of revenue? Minimum guarantees?)

• Quality control provisions (How the brand must be presented, maintained, and protected)

For founders, licensing can turn a potential dispute into a long-term income stream.

A coexistence agreement formalizes what many brands do informally: operate side by side without interference.

These agreements often:

• Divide territories

• Separate product categories

• Clarify branding distinctions

• Prevent future enforcement actions

You’re probably wondering: how is this different from a license?

A license allows one party to retain ownership of a trademark while granting another party permission to use it under defined terms.

A coexistence agreement is different.

In a coexistence, both parties maintain ownership of their respective trademarks.

They don’t share ownership.

They don’t borrow rights.

They negotiate boundaries — defining how they will operate side by side across industries, territories, or market spaces.

Licensing is about permission.

Co-existence agreements are about parallel power, structured with clarity.

How these work in practice:

Last year alone, we negotiated four different coexistence agreements.

Three of them allowed our clients to move forward with particularly thorny trademarks — marks that could have stalled for years in opposition proceedings or federal litigation.

Instead of fighting indefinitely, we built structure.

Clear boundaries.

Clear categories.

Clear obligations.

Those clients now operate with certainty instead of fear.

The fourth agreement was different.

Our client held leverage.

And instead of simply “allowing” use, we negotiated compensation — significant compensation — in exchange for permission to use a particular trademark.

That deal didn’t just avoid litigation.

It created value.

For founders, coexistence can buy time, stability, and leverage—especially when both parties have something to lose.

Litigiation is not always the solution.

Peaceful co-existence should be a consideration.

Acquisition is the most definitive solution.

One party purchases:

• The trademarks

• Associated goodwill

• Related business assets

But acquisition is more than buying a name.

It’s about consolidating control.

It ends marketplace confusion.

It unlocks expansion.

It aligns branding under one roof.

And it works best when both sides see opportunity — not defeat.

Sometimes that means bringing the founder or CEO of the acquired company into your operations.

Sometimes it means strategic integration.

Sometimes it means preserving legacy while strengthening scale.

Acquisition doesn’t have to be adversarial.

It can be collaborative.

When structured well, it:

• Preserves brand equity

• Protects consumer trust

• Aligns long-term strategy

• And transforms competition into consolidation

This is why, in some disputes, coexistence buys time — but acquisition builds permanence.

In the Ralph Lauren situation, coexistence created breathing room.

Acquisition created finality.

And that distinction matters.

Litigation is rarely the first move of brands thinking long-term.

Ownership strategy matters just as much as creativity.
Territory matters.
Timing matters.

If you’re building something meaningful, your brand isn’t just a vibe—it’s an asset. And assets deserve strategies that extend beyond reaction and into longevity.

Next time you’re tempted to “go viral” first and figure out protection later, remember this story.

Culture may open doors.

But trademarks decide who gets to stay.

Hey Fam,

Kendrick Lamar is one of my favorite artists of all time.

I still remember exactly where I was in life when To Pimp a Butterfly dropped.

I was clerking in the federal courts for an Obama-Appointed Judge.

Buttoned-up, fluorescent-lit hallways made up my day to day—all at a time when the country felt like it was ripping open.

It was the period around the first Trump election.

Everything felt unstable. Loud. Hostile. Uncertain.

I was the only Black district court law clerk in that courthouse.

And I was reminded of this fact every waking moment.

Every day required a kind of translation—of myself, of my tone, of my presence.

And then Kendrick’s voice entered my life in a way that felt like oxygen.

Not just music, but language.

But precision. Intention.

A reminder that words mattered.

That I mattered.

That we were “gonna be alright.”

And that how we said something could be just as important as what we said.

So when Kendrick recently spoke about receiving clearance to reinterpret a Luther Vandross record—and casually mentioned, “They said, ‘No cursing though. Can’t curse on it.’ That was the only thing”—my nostalgia kicked in, and my lawyer brain lit up.

Because that one sentence wasn’t casual at all.

It was copyright in action.
It was legacy speaking from beyond the grave.
It was a masterclass in what licensors can do—and why ownership matters long after the artist is gone.

Luther Vandross wasn’t on that stage.
But his voice still governed the room.

That’s the quiet power of copyright ownership: it doesn’t end when the artist goes to the ancestors.

It doesn’t disappear when the spotlight shifts.

If structured correctly, it becomes a living set of boundaries—capable of guiding how the work shows up in the world decades later.

And that’s what we saw here.

So let’s talk about what the licensor—the estate—was actually able to do.

“No cursing though.”

That wasn’t a suggestion. It was a condition.

When you own your IP, you are not required to grant blanket permission.

You can say yes selectively.

You can take back you “yes” if you please (under certain conditions, of course).

And you can decide how your work is expressed, not just whether it’s used.

Content restrictions allow licensors to:

• Preserve tone, emotional integrity, and values

• Prevent reinterpretations that distort meaning

• Protect the brand identity of the original work

In this case, the restriction wasn’t about prudishness.

It was about alignment.

Luther Vandross’s catalog is synonymous with tenderness, vulnerability, love.

Profanity—especially casual or aggressive profanity—would have shifted the emotional register of the song and would’ve had Luther looking like:

The estate understood that.

So they drew a line.

And Kendrick respected it.

Because, those are the rules of engagement.

That’s not censorship.

That’s stewardship.

Licensors don’t just control what happens to a work.

They control where and how it lives.

As an IP owner, you can limit the contexts, circumstances, and placements in which your content is disseminated.

Limiting context means deciding:

• Whether a work can be used commercially or artistically

• Whether it can appear in advertising, film, or live performance

• Whether it can be associated with certain industries, platforms, or messages

What this means?

• A song cleared for an album is not automatically cleared for a commercial.

• A photo licensed for editorial use isn’t cleared for merch.

• A voice cleared for homage isn’t cleared for commerical exploitation.

The estate didn’t just approve a remix.

They approved a specific use, in a specific context, under specific conditions.

That distinction is everything.

And it’s a distinction you can make in your contracts as well.

This is the beating heart of the issue.

Kendrick didn’t simply play the original recording.

He created a derivative work—a new expression built on top of an existing copyrighted work.

And derivative works always require permission.

Always.

As a licensor, you can:

• Approve or deny lyrical changes

• Restrict remixes, interpolations, or genre shifts

• Require fidelity to the original composition or message

• Decide whether the new version honors or undermines the original

This is where legacy is either protected—or diluted.

The estate didn’t say, “Do whatever you want.”
They said, “You can do your version—but within these boundaries.”

And those boundaries made the work stronger, not weaker.

Because boundaries aren’t just for relationships—they belong in our contracts, too.

This is where licensors quietly hold the most leverage.

Pre-approval rights allow the licensor to review:

• Final lyrics

• Final recordings

• Final mixes

• Sometimes even visuals or performances tied to the work

This means nothing goes out into the world without a final check.

And importantly: this power doesn’t require the artist to still be alive.

The estate stood in for Luther.

They made judgment calls on his behalf.

They ensured the work aligned with the values and integrity he embodied during his lifetime.

That is legacy architecture.

And this is what it means to have intellectual property making impact.

People think licensing is about permission.

It’s not.
It’s about controlling the narrative.

Even beyond the grave.

It’s about understanding that your work—your voice, your image, your ideas—can travel further than you will.

And if you don’t set the rules, someone else will.

The Luther Vandross estate did more than protect a song.
They protected a feeling.
They protected a standard.
They protected a legacy.

And they did it with a single sentence:
“No cursing though.”

If you’re building something—music, courses, a brand, a body of work—this is your reminder:

Ownership isn’t about ego.
It’s about longevity.

And the quiet power to say yes…
on your terms.

With the NFL coming up, and with Bad Bunny gearing up to crush his Super Bowl Halftime Performance, it was only right I brought some IP nuance to this cultural event.

So let’s start with a bang: The NFL sent a Cease-and-Desist to a Church

Here’s the story:

A church hosted a Super Bowl watch party.
They charged $3 to help cover snacks and raise money for charity.

No ads.
No sponsorships.
No profit motive.

The NFL sent a cease-and-desist anyway.

Not because the church posed a real financial threat.
Not because anyone confused the church with the NFL.

But because the church used the words “Super Bowl.”

And that’s when trademark law stops being theoretical—and becomes very real.

Trademark law isn’t about fairness.
It doesn’t care if you’re a huge corporate conglomerate or Mother Teresa.
It’s about ownership, control, and consistency.

So what does this actually mean?
Intent doesn’t matter nearly as much as people think it does.
Goodwill doesn’t override statutory rights.
And charity doesn’t create an exception.

So let’s make sure your charitable efforts don’t land you in the crosshairs of legal complexities.

The NFL trademarked Super Bowl in 1969.

Since then, they’ve registered dozens upon dozens of related trademarks across entertainment, broadcasting, merchandising, licensing, and digital media.

This isn’t accidental—it’s portfolio strategy.

And here’s why the enforcement matters:

Under U.S. trademark law, a mark must be actively policed.

In plain terms, “actively policing” a trademark means watching how it’s used, stepping in when it’s misused, and making sure it doesn’t lose its meaning.

If a brand owner allows widespread, unauthorized use, the mark risks becoming generic.

That’s how we lost:

• Aspirin

• Escalator

• Thermos

Once a mark becomes generic, it’s gone forever.

So, yes, to protect its asset, the NFL sends letters to:

• Bars

• Restaurants

• Small businesses

• Nonprofits

• Churches

Not because they’re cruel—but because consistency preserves ownership.

This part surprises founders.

Registering a trademark isn’t the finish line.

It’s the starting gun.

Once you own a mark, you are expected to:

• Monitor use

  This means paying attention to how your mark shows up in the real world—online, on products, in marketing, and in commerce. Not just competitors, but adjacent industries, social media, and third-party platforms. If you don’t know how your mark is being used, you can’t protect it.
  

• Object to confusing or unauthorized use

  When someone uses your mark (or something close enough to cause confusion) without permission, you’re expected to respond. That response doesn’t always mean a lawsuit—but it does mean something: a cease-and-desist, an objection, or documented enforcement. Silence can be interpreted as consent.
  

• Maintain distinctiveness

  Your mark has to continue pointing to you as the source. If it starts being used as a generic term, a category name, or shorthand for the product itself, its legal strength erodes. Once a mark loses its distinct meaning, it becomes much harder—or impossible—to enforce.

If you don’t, a court can later say:

“You tolerated this before. Why should we protect you now?”

That’s how trademarks die—not with drama, but with silence.

This is why enforcement isn’t about being litigious.
It’s about preserving the legal integrity of what you’ve built.

You don’t have to sue everyone.
But you do have to show that you care.

You don’t need to behave like the NFL.

You don’t need to send cease-and-desist letters to churches, corner bars, or community fundraisers just to prove a point.

But you do need to think like a brand owner.

And thinking like a brand owner means understanding a few uncomfortable truths:

• What you actually own (and what you don’t)

• Where your rights begin—and where they end

• How your brand may be used by others, intentionally or unintentionally

• What silence can cost you over time

Trademark law isn’t just offensive.

It’s defensive.

Yes, it gives you the ability to stop others from using your name.

But more importantly, it preserves your ability to continue using it.

Five years from now.

Ten years from now.

Twenty years from now.

Because strategy doesn’t look like panic.

It looks like foresight.

It looks like monitoring your marketplace instead of reacting late.

It looks like choosing when not to enforce—and documenting why.

It looks like protecting the distinct meaning of your brand before it erodes.

Protection isn’t paranoia.

It’s preparation.

And the goal isn’t to be feared.

The goal is to make sure that the thing you’re building today still belongs to you tomorrow.

So… About That Super Bowl Watch Party

There are ways to talk about the Super Bowl without infringing.

And there are ways that will absolutely land you a cease-and-desist.

This article itself is an example of the difference.

Here, the term Super Bowl is used under a doctrine called nominative fair use.

In plain terms, that means readers reasonably understand I’m referencing the Super Bowl in a third-person, informational context.

• I’m not claiming sponsorship.

• I’m not suggesting affiliation.

• And I’m not using the term as a brand for my own goods or services.

There’s also no substitute term that would communicate the same thing.

It’s the Super Bowl—or it’s nothing.

That’s the key.

Contrast that with what the church did: using the term Super Bowl to promote and monetize an event.

Different context.

Different presentation.

Different legal outcome.

And that’s why language matters.

Context matters.

Presentation matters.

If you’re building a brand—or stewarding one—you don’t just need creativity. You need strategy.

And you need to understand where lawful reference ends and infringement begins.

EVENT #2 — THE POWER MOVES SERIES: RYAN COOGLER | February 12, 2026

Now, back to our regularly scheduled program…. :)

Let me be very direct:

Service providers often get eaten alive by scope creep.

What is “scope creep,” you ask?

Well, scope creep is the gradual expansion of a project’s work beyond what was originally agreed upon—often through small, informal requests or “quick tweaks” that seem harmless in isolation but collectively increase time, complexity, and cost without a corresponding adjustment to expectations, timeline, or compensation.

For example:
You may offer strategy, but suddenly you’re now providing implementation.
You may provide coaching, but suddenly you’re now providing therapy.
You may build a website, but suddenly you’re now providing branding.

In the end, you don’t get paid more; instead, you lose hours, money, and sanity.

To prevent scope creep, the scope of work or the articulation of services needs to be clear and ironclad.

This single contractaul section has saved — and earned — me tens of thousands of dollars this year.

Not because the work was easier, but because the boundaries were clear before the engagement began.

So what are the questions that should inform your scope?

For coaches:

• If a client misses a session, do they get one makeup session?

• After that, do additional sessions cost a set amount?

• Are they entitled to 4 coaching hours per month? 15? 20?

• What if they arrive 10 minutes late?

• Do unused hours roll over, or do they evaporate at month’s end?

For consultants:

• What, exactly, are the “deliverables?”

• If you’re creating a report, what sections are included?

• Where does your IP stop and theirs begin?

• Who owns the IP from the deliverables?

• What constitutes “analysis,” and what constitutes a new project?

For SaaS providers:

• What features does the subscription include?

• What features are not included?

• What’s your refund policy?

• How do you handle confidential data?

• Are you feeding the data into an LLM?

• Are additional features at your discretion?

• What level of access does the client actually receive?

A scope of work can be comprehensive.

But it doesn’t have to be complex.

It just has to be clear, defensible, shared in advance service implementation.

It’s the dividing line between the business you intended to run and the business that balloons into something you didn’t sign up for.

Revisit it.
Refresh it.
Refine it.

Your contract is only as powerful as your willingness to enforce it.

This is where you have to be painfully honest with yourself.

Late fees? Great.
But will you actually impose them?

Payment deadlines? Wonderful.
But do you have the backbone — and systems — to follow through?

Beyond that, many service providers forget to ask the most important question:

When is your money truly earned?

For long-term service providers and flat-fee businesses, this determines everything:

If the engagement ends early, or if the client doesn’t give you what you need when you need it…

• Are you entitled to keep some of the money?

• Or do you owe it all back?

• Did you structure the contract in phases?

• Did you assign percentages to each phase?

• Did you define what “start of work” actually means?

One way to handle this?

A payment schuedule.

When we draft service agreements for clients, we always take time to break down the phases or steps of the client’s service offering.

This way, we can clearly draft what is earned during each phase:

Here’s an example:

Had an onboarding session and your IP or materials were sent in advance? You’ve earned 30%.

Commenced the work that you stated in your scope of services? Another 50%

Sent the first draft of the promised deliverable? Remaining 20%.

Please note, this is just and example, fam.

As my clients can attest, that payment schedule was their financial safeguard.

It was the difference between returning a small portion of fees versus writing a gut-punch refund check that the business never recovers from.

Get this wrong, and it will cost you.

Get this right, and it will save you.

Revisit it.
Refresh it.
Refine it.

I see this far too often:

A client signs up.
They extract your content.
They download your worksheets.
They absorb your frameworks.
They take your curriculum, your method, your slides, your thinking.

And then they cancel.

It’s devastating — and preventable.

Your Intellectual Property clause must be crystal clear:

1. Anything they receive must remain confidential.

2. Materials are for personal use only.

3. You own every single piece of content they access.

4. They receive a limited, revocable license to use it — not to copy, distribute, reproduce, teach, resell, or adapt it into something new.

5. If they violate this, there are consequences.

Without this clause, you leave your brilliance on the table for anyone to pick up, repurpose, and profit from.

With this clause, you draw a line in the sand.

Revisit it.
Refresh it.
Refine it.

Now, back to our regularly scheduled program…. :)

As we’ve shared before, when there is no contract — or when a contract is vague, silent, or incomplete — the law does not shrug and say, “oh well.”

Instead, the court fills in the gaps with fallback or default rules.

Copyright has default rules.
Ownership has default rules.
Control of footage has default rules.

So…let’s get into some of those rules, shall we?

And one of the most misunderstood defaults is this:

The subject of a video is almost never the owner of the copyright.

Unless it’s a selfie, appearing in footage does not make you the owner.

The owner is the person who presses the button or the shutter.

And, fun fact, if the “presser” of the shutter is not a human person, then no one owns the copyright.

One of my favorite copyright cases makes this “human copyright” point crystal clear.

In 2018, a federal court ruled that Naruto—an Indonesian macaque who famously took selfies using a nature photographer’s camera—could not file a copyright infringement lawsuit. And just as importantly, neither could the photographer who owned the camera.

Why? Because copyright law requires a human author.

The Ninth Circuit put it plainly:

“Nonetheless, we conclude that this monkey—and all animals, since they are not human—lacks statutory standing under the Copyright Act. We therefore affirm the judgment of the district court.”

The takeaway isn’t novelty. It’s doctrine. Copyright does not attach to proximity, ownership of equipment, or being the subject of the work. It attaches to human authorship. If no human pressed the shutter, made the creative choices, or exercised control over the expression, there is no copyright to enforce.

It’s a strange case. It’s also a perfect one. Because it reminds us that copyright law isn’t about vibes, presence, or entitlement—it’s about authorship, fixation, and who the law recognizes as the creator.

But why does the subject of the film not own the copyright by default, you ask?

Because pressing that button isn’t passive.

It’s creative.

Think about it.

When “clicking” the button, the videographer controls:

• framing

• angles

• lighting

• timing

• what’s included

• what’s excluded

• how the story is captured

• even subtle choices like volume shifts or perspective

This “modicum of creativity” is all the law needs to assign copyright ownership to the person behind the camera — not the person in front of it.

So unless a contract says otherwise, the videographer owns the footage.

According to Netflix’s director, that is precisely the legal foundation they’re relying on when they say they obtained the footage “legally” and have the “necessary rights.”

This is why contracts matter.

There is a scenario where the person “clicking” the button does not own the copyright:

If they are an employee, and the footage is created within the scope of their employment.

In that case, the copyright automatically belongs to the employer.

But here’s the wrinkle in Diddy’s situation.

It’s not clear or proven that he is the “employer.”

(Especially if you don’t pay people for the work they do…but that’s a conversation for another day….).

There is no indication—none—that this videographer was Diddy’s employee.
There is no W-2.
No traditional employment structure.
No evidence that this was a work-for-hire, unless a separate contract exists (and if it did, Diddy’s team would have led with it).

This is why Diddy’s lawyers are relying on broad claims like “illicitly acquired” or “violating contractual agreements”—because the default copyright rules are not in his favor.

Without a contract defining ownership, the law will default to the creator of the footage.

And that appears to be what happened here.

Fair question — and an important one.

Copyright governs who owns the footage.
Privacy and publicity rights govern how a person’s name, image, or likeness can be used.

Could Diddy argue privacy violations? Possibly.
Could he raise right-of-publicity claims? Maybe.
